Terms and Conditions of Sale and Use

Preliminary Article – Contractual Scope

These Terms and Conditions constitute the entire agreement between the Parties and replace any prior agreement. No document or condition of the Client may prevail over these terms, except by express written agreement from VoiceHire. No modification or tolerance on the part of VoiceHire shall constitute a future waiver of its rights.

Preamble

VoiceHire SAS (RCS Paris B 933 660 003, 60 rue François 1er, 75008 Paris) operates the platform accessible at https://app.voicehire.io, allowing HR professionals to use AI conversational agents to automate recruitment interviews and candidate pre-qualification.

Article 1. Definitions

  • Subscription: Open-ended contract providing continuous access to the Services
  • Client: Any professional entity subscribing to the Services
  • Account: Personal space for accessing Platform features
  • Credits: Prepaid consumption units valid for twelve months from purchase
  • Data: Information transmitted, collected, hosted or processed via the Services
  • Parties: The Provider and the Client collectively
  • Platform: SaaS application operated by VoiceHire
  • Services: All services including access to the Platform, technical support, AI features and credit management

Article 2. Purpose and Scope

These terms govern the conditions for providing the Services and the respective obligations of the Parties. They apply universally to all subscriptions, credit purchases or Platform use, prevailing over any Client purchase conditions except by express written agreement.

Article 3. Acceptance and Enforceability of Terms

The Client acknowledges having read and accepts these Terms without reservation before any subscription. Any use of the Services, including access during trial or demonstration periods, constitutes full acceptance. The terms remain accessible at https://www.voicehire.io/terms.

Article 4. Description of Services

VoiceHire provides:

  • Access to the SaaS Platform with AI conversational agent for recruitment
  • Dashboard for managing campaigns, interviews, applications and interactions
  • Credit-based consumption system
  • API enabling connection to third-party applications (ATS, HRIS, internal systems)
  • Technical support service

The Provider may evolve the Services (adding features, fixes, technical improvements) without altering the main objectives. Substantial modifications are notified to the Client.

Article 5. Financial Terms – Subscriptions and Credits

5.1. Pricing

Prices are displayed in euros excluding tax. Applicable VAT is added to invoicing. Rates remain accessible via the Client account on the Platform and may change. Previously ordered credits retain the original purchase rate.

5.2. Subscriptions

Subscriptions are open-ended. Each subscription corresponds to a credit package usable on the Platform. Payment occurs at the beginning of each usage period. Cancellation is done directly via the Platform interface, without refund of unused credits. Started subscription periods remain due. Credits expire twelve months after purchase without refund or rollover.

5.3. Credits

The Client may purchase credits individually. Credits remain valid for twelve months from purchase; unused credits then automatically expire without compensation.

5.4. Payment Terms

Payment is made by credit card, bank transfer or any other accepted method. In case of late payment, penalties calculated at three times the legal interest rate apply automatically, plus a €40 flat-rate recovery indemnity in accordance with Article D.441-5 of the French Commercial Code. A formal notice remaining unanswered for fifteen days may result in suspension of Services.

5.5. Custom Offers

Large credit volumes or extended usage allow the Client to request customized proposals including volume-adjusted discounts. The Client may also request custom functional modules resulting in tailored technical and commercial proposals.

Article 6. Access, Use and Suspension

VoiceHire endeavors to ensure continuous Platform access 24/7, except for maintenance or force majeure. The Client undertakes to use the Services lawfully, avoiding any Platform malfunction, feature misuse or reputational damage.

VoiceHire reserves the right to suspend access without notice in case of security incident, misuse or situation threatening Service integrity, until regularization.

Force Majeure: The Provider assumes no liability for failure resulting from force majeure events within the meaning of Article 1218 of the French Civil Code, including communication network failures, cyberattacks, administrative decisions, natural disasters or supplier strikes.

Article 7. Client Obligations

The Client undertakes to:

  • Provide accurate information upon subscription and keep it up to date
  • Preserve the confidentiality of their credentials
  • Ensure authorization for use of any third-party name, trademark or element, and release the Provider from liability
  • Guarantee the lawfulness of data transmitted and processed via the Platform, particularly regarding recruitment and personal data protection
  • Avoid any Platform use contrary to public order or good morals

Article 8. Client Liability for Data Processing (GDPR)

The Client acts as data controller within the meaning of GDPR. The Provider acts exclusively as data processor within the meaning of Article 28 of GDPR, implementing appropriate security and confidentiality measures and following exclusively Client instructions.

The Provider makes available an online portal allowing candidates to exercise their rights (access, portability, rectification, anonymization, deletion). Data breach notification occurs within a maximum of 72 hours following discovery.

GDPR compliance audits requested by the Client require prior Provider agreement and joint planning, with audit costs borne by the Client. Detailed data processing terms are available in the Personal Data Protection Policy at https://www.voicehire.io/privacy.

Article 9. Provider Liability

The Provider is bound by a best-efforts obligation. The Provider assumes no liability for:

  • Inappropriate use of Services
  • Data loss attributable to the Client
  • Indirect damages (loss of profit, data loss, business interruption, reputational harm)

The Provider's total liability — including contractual, tortious or quasi-tortious claims — is limited to amounts actually paid by the Client during the preceding twelve months. The Provider provides no warranty regarding AI system accuracy, analyses or recommendations. The Client remains solely responsible for data exploitation and decisions made on this basis.

Article 10. Intellectual Property

VoiceHire retains all intellectual property rights over the Platform, its content, algorithms and documentation. The Client only benefits from a personal, non-exclusive and non-transferable right of use.

Any unauthorized reproduction, adaptation, distribution or use is prohibited. Data extraction, reverse engineering or AI model training from the Services are prohibited. The Provider may use pseudonymized or anonymized usage data to improve its algorithms, statistics or features.

Article 11. Data Security and Hosting

Data hosting takes place within data centers of leading providers located in France and Germany. Data is encrypted with automatic daily backups. Security measures undergo regular assessments and may be strengthened without notice to ensure optimal protection.

Article 12. Subcontracting

Subcontractors outside the European Union do not store any data; their use is limited to processing operations only. All subcontractors are validated with GDPR-compliant agreements (DPA).

Article 13. Confidentiality

Each Party undertakes to maintain strict confidentiality of technical, commercial or strategic information exchanged under the contract. This obligation continues for two years after contract termination.

Article 14. Commercial References

Unless the Client expressly objects in writing, the Provider may mention the Client's name, company name and logo in its commercial references, marketing materials, presentations and public communications as a simple commercial reference.

The Provider undertakes to respect the Client's image and reputation, avoiding any association with disparaging or inappropriate content.

Article 15. Ethics, AI and Non-Discrimination

The Client acknowledges that use of recruitment Services requires strict compliance with non-discrimination employment legislation (Articles L.1132-1 et seq. of the French Labor Code). The VoiceHire Platform natively integrates SafeAsk — an automatic detection module identifying questions potentially contrary to non-discrimination principles.

This module does not guarantee detection of 100% of problematic cases. The Client remains solely responsible for designing, validating or submitting questions to candidates, as well as analyzing responses. The Provider may suspend or terminate Client access in case of use manifestly contrary to these principles. The Provider assumes no liability in recruitment decisions.

Article 16. Duration, Termination and Data Deletion

  • Client access is deleted
  • The Client may request export of their data in a standard format within thirty days
  • After ninety days, the Provider proceeds with permanent data deletion, except for legal retention obligations

Remaining credits upon Client access deletion are not refundable.

The contract and Terms are concluded for an indefinite period. Either Party may terminate by simple written notification at any time.

In case of serious breach of contractual obligations, the Provider may terminate the Services as of right after a formal notice remaining unanswered for fifteen days.

Upon contract termination:

  • Client access is deleted
  • The Client may request export of their data in a standard format within thirty days
  • After ninety days, the Provider proceeds with permanent data deletion, except for legal retention obligations

Article 17. Modification of Terms

The Provider reserves the right to modify the Terms at any time. The Client is informed by any means (platform, email, online notification) at least thirty days before entry into force.

In case of disagreement, the Client may terminate the contract before the modifications take effect. Remaining credits upon effective termination are not refundable.

Article 18. Indirect Clients and Resellers

When Clients access VoiceHire Services through authorized resellers or distributors, they remain fully subject to these Terms. Resellers act independently from Clients without modifying Client-Provider obligations.

The Provider assumes no liability for commitments or representations by resellers exceeding the scope of these Terms.

Article 19. Applicable Law and Jurisdiction

These Terms are governed by French law. Any dispute relating to interpretation, performance or validity falls under the exclusive jurisdiction of the Paris Commercial Court, except for mandatory legal provisions to the contrary.
